Agreement to Terms

These Terms of Service ("Terms") govern your use of Clipify's AI-powered video clip generation service ("Service") operated by Clipify ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service.

Description of Service

Clipify is an AI-powered platform that transforms long-form video content into short, social media-ready clips. Our service includes:

• AI-powered analysis of video content to identify viral moments
• Automatic generation of short-form clips with captions
• Transcription services using advanced AI technology
• Video processing and editing capabilities
• Cloud storage for your projects and generated clips

User Accounts

To access certain features of our Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept all risks of unauthorized access to your account
• Notify us immediately of any unauthorized use of your account

Content and Usage Rights

Your Content

You retain all rights to the content you upload ("Your Content"). By uploading content to our Service, you grant us a limited, non-exclusive, royalty-free license to:

• Process, analyze, and generate clips from your videos
• Store your content temporarily for processing purposes
• Generate transcriptions and captions
• Provide you with the processed clips and related materials

Content Restrictions

You agree not to upload or process content that:

• Violates any intellectual property rights of others
• Contains illegal, harmful, or offensive material
• Includes personal information of others without consent
• Violates platform policies of third-party services (YouTube, Twitch, etc.)
• Contains malware, viruses, or other malicious code
• Promotes violence, hate speech, or discrimination

Subscription Plans and Billing

Plan Types

• Free Plan: 60 minutes of processing per month with watermarked clips
• Pro Plan: $29/month for 600 minutes with no watermarks and priority processing
• Agency Plan: $99/month for 2000 minutes with team features and priority support

Billing and Payments

• Subscription fees are billed monthly in advance
• All payments are processed securely through Stripe
• Usage quotas reset at the beginning of each billing cycle
• Unused processing minutes do not roll over to the next month
• You may cancel your subscription at any time

Usage Limitations and Fair Use

• Processing limits are based on video duration, not file size
• Maximum individual video length: 2 hours
• Maximum file size: 500MB per upload
• No automated or bulk processing without prior written consent
• Commercial use is permitted within your subscription limits
• We reserve the right to suspend accounts that abuse our systems

Data Processing and AI

Our AI processing includes:

• Automated transcription using OpenAI's Whisper technology
• Content analysis to identify engaging moments and viral potential
• Automated clip generation with captions and formatting
• Processing may take several minutes depending on video length
• Generated clips are your property and can be used commercially

Intellectual Property

You acknowledge and agree that:

• You are responsible for ensuring you have rights to all content you upload
• You will not process content that infringes on others' rights
• Our Service, software, and related materials are protected by copyright and other intellectual property laws
• Generated clips do not grant you additional rights to the original content
• You may not reverse engineer, modify, or create derivative works of our Service

Service Availability

While we strive to provide reliable service, we do not guarantee:

• 100% uptime or uninterrupted service
• That the Service will meet all your specific requirements
• That all uploaded content will process successfully
• Specific processing times, though we target completion within 6 minutes
• Permanent storage of your content beyond stated retention periods

Termination

Either party may terminate this agreement at any time:

• You may delete your account and stop using the Service at any time
• We may terminate or suspend your account for violations of these Terms
• Upon termination, your access to the Service will cease immediately
• Your content will be deleted according to our data retention policy
• Paid subscriptions will be canceled but no refunds will be provided for partial months

Disclaimers and Limitation of Liability

Service Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of Liability

IN NO EVENT SHALL CLIPIFY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

Indemnification

You agree to indemnify, defend, and hold harmless Clipify and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of the Service or violation of these Terms.

Governing Law
